Acceptance of terms

By accessing or using chelorachemicals.com (the "Website"), or by submitting an enquiry, requesting a quote or sample, or placing an order with Chelora Chemicals ("Chelora Chemicals", "we", "us" or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Website or place an order with us.

These terms apply alongside, and do not replace, the specific commercial terms agreed in any order confirmation, proforma invoice or sale contract between you and Chelora Chemicals. Where those documents conflict with this page, the order confirmation or sale contract will govern for that transaction.

Use of this website

You agree to use the Website only for lawful purposes connected with genuinely sourcing or supplying the products we deal in. You agree not to:

  • Use the Website in any way that could damage, disable or impair it, or interfere with anyone else's use of it.
  • Submit false, misleading or fraudulent information through our enquiry, quote or product-listing forms.
  • Attempt to gain unauthorised access to any part of the Website or its underlying systems.
  • Use any automated system to extract data from the Website without our prior written consent.

Product information

Specifications, properties, applications and other figures shown on product pages are typical or indicative values, provided for reference and guidance. They are not a warranty or a guaranteed specification for any particular shipment.

The governing figures for any consignment are always those stated on that batch's Certificate of Analysis (COA), issued at the time of supply. If you need a tighter or different specification than what is shown on a product page, raise it with us at enquiry stage so we can confirm whether we can meet it before it is written into an order.

Quotations & orders

Quotations provided by email, WhatsApp or through the Website are indicative and do not constitute a binding offer unless expressly stated otherwise. A contract for sale is formed only when we issue a written order confirmation or proforma invoice and you accept its terms, including price, quantity, specification, packing, Incoterm, payment terms and estimated lead time.

We reserve the right to decline any enquiry or order, including where we cannot meet a requested specification, quantity, destination, or regulatory requirement.

Pricing & payment

Prices quoted are subject to change until confirmed in a written order confirmation, and are normally quoted to a specific Incoterm (FOB, CIF, CFR, CPT or DAP) and delivery point, which will be stated in the quotation. Payment terms, currency and method are agreed on a per-order basis and set out in the order confirmation or proforma invoice.

Shipping & delivery

Lead times mentioned on the Website or in a quotation are estimates based on production, consolidation and sailing schedules at the time, and are not guaranteed delivery dates. Actual timing can be affected by factors outside our control, including port congestion, carrier schedules, and import formalities at the destination.

Risk and responsibility for the goods pass between us and you in line with the Incoterm agreed for that order. Where import registration, notification or licensing is required at your destination, you are responsible for obtaining it unless we have expressly agreed otherwise in writing.

Samples

Samples are provided for evaluation and qualification purposes only, in the quantity we consider reasonable for that purpose. Sample results do not constitute a guaranteed specification for a subsequent bulk order; bulk supply remains subject to a separate order confirmation.

Hazardous materials & compliance

A number of the products we supply are classified as hazardous for transport and storage purposes, and some carry precursor, authorisation or end-use declaration requirements in certain jurisdictions. We prepare classification and transport documentation in line with applicable regulations at the point of despatch.

You are responsible for complying with the import, handling, storage, end-use and any precursor or licensing requirements that apply in your own jurisdiction, and for providing any end-use declaration we reasonably request before despatch. Material Safety Data Sheets (SDS) are provided for every hazardous product and should be reviewed and followed by anyone handling the material.

Some products in our range are subject to precursor controls or end-use restrictions. We supply these only where the end use and regulatory position are clear. If you are unsure of your obligations, consult your own regulatory adviser before ordering.

Intellectual property

All content on this Website — including text, product descriptions, graphics, logos and page layouts — is owned by or licensed to Chelora Chemicals and is protected by applicable intellectual property laws. You may view and print pages for your own personal or internal business use when evaluating our products, but you may not reproduce, distribute or republish our content for any other purpose without our prior written consent.

Your submissions

When you submit information through our enquiry, quote, sample, or "list your product" forms, you confirm that the information is accurate and that you are authorised to share it with us on behalf of your company. Please do not include information you consider confidential in these submissions unless we have a separate confidentiality agreement in place — treat the forms as you would an ordinary business email.

If you submit product or manufacturing information to be listed on our website as a potential supplier, you agree that we may contact you to discuss it, and that listing is at our discretion following that discussion — submitting the form does not guarantee that your product will be listed.

Limitation of liability

To the extent permitted by applicable law, Chelora Chemicals will not be liable for any indirect, incidental, special or consequential loss arising from your use of the Website, including loss of profits, business or data, even if we have been advised of the possibility of such loss.

Nothing in these terms limits liability that cannot be limited under applicable law, or affects liability arising under a specific order confirmation or sale contract, which is governed by its own agreed terms.

Indemnification

You agree to indemnify and hold Chelora Chemicals harmless from any claim, loss or expense (including reasonable legal fees) arising from your misuse of the Website, your breach of these terms, or your failure to comply with applicable import, handling or end-use requirements for products you purchase from us.

Third-party links

The Website may contain links to third-party sites, such as WhatsApp. We do not control and are not responsible for the content, accuracy or practices of any third-party site, and including a link does not imply our endorsement of it.

Governing law & jurisdiction

These terms are governed by the laws of India. Subject to any specific dispute resolution clause agreed in an order confirmation or sale contract, any dispute arising out of or relating to these terms or your use of the Website will be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

Changes to these terms

We may update these Terms & Conditions from time to time to reflect changes in our business or for legal and regulatory reasons. Continued use of the Website after a change constitutes your acceptance of the updated terms.
